Platform: Praxis Medical (the “Service” or “Platform”)
Operator: Spark Digital SpA, Santiago, Chile (“Spark Digital”, “we”, “us”).
These Terms and Conditions (“Terms”) govern access to and use of the Site and the Praxis Medical Platform. By registering, signing in, or using the Service, the contracting healthcare institution and its authorized users accept these Terms.
1) Description of the Service
Praxis Medical is a cloud-based clinical management platform that helps clinics, medical centers, and hospitals digitize processes such as patient records, surgeries, sample traceability, staff scheduling, visits, inventory, adverse events, and other modules enabled for each institution.
The Service is delivered as SaaS (software as a service), with web access through credentials and permissions defined by each institution.
2) Contractual relationship
The commercial agreement, module scope, pricing, timelines, and specific implementation conditions are agreed directly between Spark Digital and the contracting institution (“Customer”). These Terms supplement that agreement and govern use of the Platform.
End users (clinical staff, administrative staff, or others) access the Service on behalf of the Customer and under that institution’s internal policies and instructions.
3) Accounts, access, and responsibilities
- The Customer designates administrators responsible for creating users, assigning permissions, and revoking access.
- Each user is responsible for keeping their credentials confidential and for all activity performed from their account.
- The Customer warrants that its users have the necessary authorization to access the clinical and operational information they view or record in the Platform.
- Spark Digital may suspend or restrict access in cases of misuse, security risk, or breach of these Terms.
4) Health data and regulatory compliance
Important: The Platform may process sensitive data, including patients’ clinical information.
- As a general rule, the Customer acts as the data controller for its patients’ and staff’s data, and Spark Digital acts as a processor to the extent necessary to operate the Service.
- The Customer is responsible for having the legal bases, consents, notices, and internal measures required by applicable law (including, where relevant, Chilean Law No. 19,628 on the Protection of Private Life and sector-specific health regulations).
- Use of the Service does not replace clinical judgment or the professional obligations of the institution’s staff.
Personal data processing is also governed by our Privacy Policy.
5) Acceptable use
The following is prohibited:
- Using the Platform for illegal, fraudulent, or unauthorized purposes.
- Attempting to access information, modules, or institutions for which permission has not been granted.
- Reverse engineering, automated scraping, intrusion testing, or actions that compromise Service security.
- Introducing malware, interfering with Service operation, or bypassing access controls.
- Copying, reselling, sublicensing, or commercially exploiting the Platform outside what is agreed with Spark Digital.
6) Intellectual property
The Platform, its code, design, brand, documentation, methodologies, and other Service elements are owned by Spark Digital SpA or its licensors.
The Customer retains ownership of the data it enters or generates in the Platform. Spark Digital receives a limited license to host, process, back up, and display such data solely to provide the Service.
7) Availability, support, and changes
We strive to keep the Service continuously available, but interruptions may occur due to maintenance, updates, third-party provider failures, or force majeure.
We may improve, modify, or discontinue Service features, seeking to minimize impact on the Customer’s critical operations.

8) Confidentiality and security
Spark Digital implements reasonable technical and organizational measures to protect information, including encryption in transit, access controls, audit logs, and infrastructure on Amazon Web Services (AWS).
Each institution operates with its own configuration, users, and permissions. Public screens, kiosks, and shared links must be used in accordance with the Customer’s privacy policies.
9) Disclaimer of warranties
The Service is provided “as is” and “as available”, within reasonable SaaS industry standards. We do not guarantee that the Platform will be error-free at all times or that it will meet specific regulatory requirements not expressly agreed with the Customer.
10) Limitation of liability
To the maximum extent permitted by applicable law, Spark Digital SpA shall not be liable for indirect, incidental, special, or consequential damages arising from use or inability to use the Service.
Spark Digital’s total liability to the Customer for any claim related to the Service shall be limited, except in cases of willful misconduct or gross negligence, to the amount actually paid by the Customer to Spark Digital for the Service during the twelve (12) months preceding the event giving rise to the claim, or to the limit agreed in the corresponding commercial contract if lower or higher as agreed.
Nothing in these Terms limits liabilities that cannot be excluded under law.
11) Changes
We may update these Terms. The current version will be published on the Site with its update date. Continued use of the Service after a reasonable change implies acceptance, unless law or the commercial contract requires a different procedure.
12) Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Chile. Any dispute shall be submitted to the competent courts of Santiago, Chile, without prejudice to what is agreed in the commercial contract between the parties.
